All you need is love. That is the theme song of pro-same-sex marriage proponents. It is the slogan of Louisa Wall, author of the same-sex marriage bill. If two gay people love each other and want to ?marry?, why don?t we allow this? But is love enough?

In answering that question, we need to be aware of two other questions: what is marriage? And why is the state involved? The latter question is crucial, because the core issue is one of affirmation, not rights ? rights can be dealt with by specific legislation without amending the Marriage Act and upsetting lots of people.

Apart from conveying rights, marriage provides affirmation that the state/society encourages this relationship as a good thing. A crucial question is whether gay relationships are such a good thing as to be endorsed by society as ?marriage?.

We should look at the issue of social endorsement through four lenses: love, commitment, health, and society?s interests.

Let?s begin with love. What is ?love?? The word covers a raft of sometimes contrary meanings, from sexual desire centred on ?my? self-gratification, to heroic self-giving for another. Both heterosexual and same-sex unions may well pass (or fail) this test. The love issue does not debar same-sex marriages.

However, love alone is not enough. It can be fleeting and transient. If marriage is to be serious and not trivial, it needs longevity, buttressed by commitment and faithfulness.

What of gay commitment and faithfulness? Long-term lesbian relationships on average may well be as committed and faithful as that of an average married heterosexual couple. The problem is the gay men.

Some male gay couples are as committed and faithful as typical married heterosexuals. Survey evidence, however, indicates that these are very much a minority.

Significant data on male homosexual behaviour is available through New Zealand Medical Journal articles and the New Zealand Aids Foundation website. The Aids Foundation and the Aids Epidemiology Group at the University of Otago have conducted biennial surveys, the Auckland Gay Periodic Sex Surveys, for the past decade.

The 2010 results covered the sexual behaviour of 1527 gay men in 2008. On the commitment side, the survey indicates that the most common number of sexual partners for gay men over the previous six months was two to five. Just 38.8 per cent of those surveyed had a partner of more than six months? standing (i.e. relationships with some level of commitment).

However, 52 per cent of these men had also had sex in that period (six months) with other partners. So despite the rhetoric of love and commitment, most male gay couples are not in a genuinely monogamous relationship. Should the meaning of ?marriage? be broadened under such circumstances?

There is also the health issue. Male-to-male coupling typically has far greater health risks (because of high levels of anal sex). Both with casual and with ?boyfriend? sex the percentage engaging in anal sex is over 80 per cent. Anal sex is never fully safe. Although condoms reduce the risk of sexually transmitted diseases (including HIV/Aids) by around 85-90 per cent, risk remains (because of user misuse or product failure).

Risk is far greater without condom protection. Although 98 per cent of those surveyed knew that anal sex without a condom is very high risk for HIV transmission, 73 per cent did not use a condom at least once in the past six months (the figure for casual sex was 31 per cent).

The result is high levels of sexually transmitted infections amongst gay men. Over 60 per cent of new infectious syphilis cases are gay men. This category also has high rates of gonorrhoea and hepatitis. And 76 per cent of all new HIV diagnoses in 2000-2009 were gay men.

Can we affirm male gay relationships to the level of ?marriage?, given the data on faithfulness and health? One can argue change on the basis of ?me?, ?my rights? and ?choice?. But the debate is also about the good of society.

What society needs are stable, faithful, healthy relationships. Stable marriage has gravely weakened in the last generation. There is deep hurt and scarring of many, especially children, as a consequence.

In a direct sense gay ?marriage? will not make this worse. Indirectly, however, it will, because it makes marriage, which for many is becoming vague and fuzzy, vaguer and fuzzier still. It is social engineering ? with its negative aspects ignored.

We need to have a deep and wide debate, looking at all factors. The same-sex marriage debate is currently far too simplistic. The draft bill is a daft bill.

California Proposition 183 was on the November 8, 1994 general election ballot in California as a legislatively-referred constitutional amendment , where it was approved.

Proposition 183 changed the laws governing recall in California so that recall elections would be held within 180 days of certifying the signatures on a recall petition, rather than within 60-80 days of certifying the signatures.

Pakistani officials confirm death of key militant

ISLAMABAD (AP) ? Pakistani intelligence officials confirmed Thursday that a U.S. drone strike last week near the Afghan border killed the son of the founder of the powerful Haqqani militant network, a major blow to one of the most feared groups fighting American troops in Afghanistan.

Badruddin Haqqani, who has been described as the organization's day-to-day operations commander, was killed on Aug. 24 in one of three strikes that hit militant hideouts in the Shawal Valley in Pakistan's North Waziristan tribal area, said two senior intelligence officials, speaking on condition of anonymity because they were not authorized to talk to the media.

The presence of the mostly Afghan Haqqani network in North Waziristan has been a major source of friction between Pakistan and the U.S. The Obama administration has repeatedly demanded Pakistan prevent the group from using its territory to launch attacks in Afghanistan, but Islamabad has refused ? a stance many analysts believe is driven by the country's strong historical ties to the Haqqani network's founder, Jalaluddin Haqqani.

The Pakistani intelligence officials didn't specify which strike on Aug. 24 killed Badruddin, but said he was leaving a hideout when the U.S. missiles hit. The confirmation of his death came from their sources within the Taliban, which is allied with the Haqqani network, and agents on the ground, they said. But neither the officials nor their sources have actually seen Badruddin's body.

Pakistani intelligence officials previously said they were 90 percent sure Badruddin was killed in a drone strike in a different part of North Waziristan on Aug. 21. It's unclear what caused the discrepancy.

Afghanistan's intelligence agency said several days ago that its operatives had confirmed Badruddin's death. A senior Taliban commander has also confirmed the militant's death.

A Taliban spokesman in Afghanistan, Zabiullah Mujahid, has however rejected reports of Badruddin's death, calling them "propaganda of the enemy."

The U.S. does not often comment publicly on the covert CIA drone program in Pakistan and has not said whether Badruddin was killed.

The areas where the American drone strikes generally occur are extremely remote and dangerous, making it difficult to verify a particular person's death.

Badruddin is considered a vital part of the Haqqani structure.

The U.S. State Department has designated Badruddin, along with his father and brothers ? Nasiruddin and Sirajuddin ? as terrorists. The State Department said in May 2011 that Badruddin sits on the Miram Shah Shura, a group that controls all Haqqani network activities and coordinates attacks in southeastern Afghanistan.

Badruddin is also believed to have been responsible for the 2008 kidnapping of New York Times reporter David Rohde, the department said.

After their father effectively retired in 2005, Badruddin and his brother Sirajuddin expanded the network into kidnapping and extortion, both highly profitable for the organization, according to a recent report by the West Point, N.Y.-based Combating Terrorism Center. Afghan intelligence authorities have released intercepts of Badruddin orchestrating an attack against the Intercontinental Hotel in Kabul in 2011, the CTC said.

The U.S. has long viewed the Haqqani network as one of the biggest threats to U.S. and NATO forces in Afghanistan as well as the country's long term stability.

The Pakistani military has refused to target the Haqqani network, saying its troops are stretched too thin fighting militants at war with the state in other parts of the tribal region. But many analysts believe the military views the group as an important potential ally in Afghanistan after foreign forces withdraw.

Also on Thursday, Pakistan security officials arrested the founder of one of the country's most virulently anti-Shiite militant groups, Laskhar-e-Jangvi, for allegedly making a speech that spread sectarian hatred.

A police official in Lahore, Maroof Afzal, said police arrested Malik Ishaq as he returned from a religious pilgrimage in Saudi Arabia. He was arrested because of a speech he made during Ramadan that authorities said incited sectarian hatred.

Laskhar-e-Jangvi allies itself with al-Qaida and the Taliban. The group is blamed for scores of attacks on Shiites, regarded as infidels, and on Pakistani and U.S. interests. Police arrested Ishaq in 1997, and he was accused in more than 200 criminal cases including the killing of 70 Shiites. But the prosecution could never prove the case, in part because of witness and judge intimidation, and he went free in 2011.

The arrest comes as the country is undergoing a surge of sectarian attacks, many by Sunni Muslims who view Shiites as infidels. Much of the violence has come in Pakistan's southwestern Baluchistan province.

Gunmen shot to death a Shiite Muslim judge along with his bodyguard and driver Thursday in Quetta, the capital of Baluchistan, said senior police official Wazir Khan Nasir. The police suspect it was a sectarian killing, he said.

Also Thursday, fighting continued for a seventh day between security forces and Taliban militants who came from Afghanistan to attack an area in northwest Pakistan, officials said. The fighting in the Bajur tribal area killed eight militants, two anti-Taliban militiamen, a soldier and a female civilian, said a local political official, Nazimeen Khan.

A total of 73 militants, 14 militiamen, 10 soldiers and 11 civilians, including six women and four kids, have been killed in the week of fighting in the Salarzai area of Bajur, said Khan.

The nation's weather

Dangerous storm Isaac churned across the Gulf of Mexico, poised to bear down on the northern coast later Tuesday.

The storm's large size threatened to move an enormous amount of water in the northern Gulf with a storm surge forecast to be the biggest impact along a swath of coast stretching across Louisiana, Mississippi and Alabama.

A storm surge of several feet was likely for the central Gulf Coast and into the Mississippi River delta as Isaac appeared poised for landfall as early as Tuesday evening.

Isaac has a tremendous amount of moisture associated with it, and up to 10 inches of rain are expected to fall through the central Gulf Coast in areas most impacted by the storm. Even though the center of Isaac may move over New Orleans, it will affect a much wider area.

Elsewhere, the tail end of a cold front will continue to provide rain and some thunderstorms through the Carolinas and Virginia.

The Northeast will see temperatures rise into the 70s and 80s, while the Southeast will see readings in the 80s and 90s. The Southwest's temperatures will rise into the 90s and 100s, while the Northwest will see temperatures in the 70s and 80s.

Temperatures in the lower 48 states ranged Monday from a morning low of 30 degrees at South Lake Tahoe, Calif., to a high of 106 degrees at Palm Springs, Calif.

Top 3 Most Outrageous RNC Preparations

COMMENTARY | TAMPA, Fla. -- The Republican National Convention is less than a week away?dun, dun, dun!

OK. So the exaggeration might not be necessary; it's not like the delegates will be fighting each other to their deaths -- though that would probably be more entertaining to the younger generation. However, the convention will have some drastic effects on the city of Tampa, especially on the students attending the University of Tampa who will be witnessing all of it firsthand.

50,000 guests, including the press, delegates, and protestors, will all be crammed into downtown Tampa at the Tampa Bay Times Forum from Monday to Thursday, and yet, the crazy only starts there. Over the past couple of days, I've learned more and more about the preparations that have been made by the university and the city to make life "easier" for students, residents, and guests. Here are the top three most outrageous preparations as we come within a week to the start of the RNC.

Outrageous RNC preparation #1 -- Across the river from UT, in the Curtis Hixon Park, a club has been built for the delegates. First off, why do the delegates need a club? Are they going to party and dance on tabletops after long hours of debating and talking to one another at the convention? Living arrangements, which will shut down Kennedy Boulevard at 11 a.m. and at 3 p.m. every day, will already separate the delegates from each other and require 500 buses to transport them from their hotels to the convention and back. So are they going to shut down the "Gateway to Tampa" for an extra third time each day? It's not like the buses aren't already causing traffic issues?

Outrageous RNC preparation #2 -- Speaking of traffic, UT administration and faculty are voluntarily staying at the Howard Johnson to beat any traffic jams that may derail them from being at school on time. I guess that beats arriving to UT before 7 a.m. like other professors have decided to do. For instance, Dr. David Krahl, visiting assistant professor of criminology and criminal justice, intends to arrive by 6:30 a.m. so that he is available for his students and not stuck in bumper to bumper traffic. The way he looks at the situation is "plan for the worst, and hope for the best," as the age-old Army adage goes.

Outrageous RNC preparation #3 -- Unfortunately, some students may have to plan for the worst, such as missing class, if the city decides that the convention is too crowded and has to pull the bridges up that connect the downtown area to the rest of the city. By pulling the bridges up, the freshmen boarding at the Howard Johnson will have no way to get to the university, except by water taxis. It's hard enough to make sure you wind up in the right classroom on time during the first week of college, never mind finding a water taxi that will bring you across the river to get you to class on time -- though water taxis will be available to students as long as they are wearing their neon green lanyards with their Spartan I.D. cards.

Sadly, this doesn't even put a dent on the list of outrageous preparations for the RNC and more will it will most likely be added on by the time the convention is over. So to those who will be in Tampa during this historic time, may the odds be ever in your favor.

Mindshift and trusts: Obtain good advice! | Greyvensteins Incorporated

The word trust is often used quite loosely and in a variety of contexts. In this article we deal with the correct approach to considering the inclusion of a trust as part of your family?s estate planning. The type of trust discussed is accordingly a typical discretionary trust. In such a trust the trustees are the owners of the trust assets and manage such on behalf of the beneficiaries, and can, in their discretion, decide whether beneficiaries should receive benefits or not. Most family trusts are such discretionary trusts.

But where do I start with the decision of whether a trust or even a further trust should be included in my estate planning? Answer these selfhelp questions and decide for yourself whether you are ready for a trust or not. The first step to good planning is to decide whether a mindshift is not maybe required.

Are you a ?control freak??

If you use a trust in your estate planning structure, you must be prepared to forget about exclusive control of your trust?s assets. A trust within such a structure is an entity where the trustees exercise joint control of the trust assets because they are joint owners thereof. You will thus have to trust your co-trustees. If you want to run the show without co-stars, a trust may not be appropriate for you.

Are you clever and miserly?

The law of trusts is interesting but also complicated. Read literature on trusts and you will quickly notice how easily people burn their fingers because they did not obtain the best advice. You should at least use the services of a knowledgeable and experienced attorney or auditor. Be careful in being so brave as to take shortcuts and save money by doing it yourself. Are you impulsive and undisciplined with your estate planning?

A trust must always seamlessly fit into the rest of your long-term plans. This requires discipline and attention to year-in and year-out maintain a proper structure. A trust usually does not work if it is decided on without taking account of the bigger and long-term picture. Also forget the idea that a trust is a magic wand that will magically take care of all your tax problems!

If you answered no to the above three questions, or if you are prepared to make a mindshift, a trust(s) can be useful to you as a part of your future planning and be of benefit to yourself and your people. You can even save money. Think for example of the following:

A trust cannot die. If you or one of your family members who is a beneficiary of a trust, pass away, the trust continues forward in accordance with the basic planning put in place by you, which hopefully was done properly. In this way the family of the deceased can avoid many difficulties such as estate duty tax, executor fees and the administrative burden of a deceased estate. Even if the unfortunate situation should arise that a beneficiary can no longer look after his or her own finances, the need for a curator is avoided as the trustees fulfil this role. Again, proper planning is of seminal importance.

The assets of a trust is protected against risk. If the basic trust planning was properly done and the structure is properly maintained, financial risks (such as unforeseen claims against trustees or beneficiaries) can be managed in such a way that creditors cannot touch the assets of the trust.

Who then requires a trust as part of his estate planning? If you are working hard to build up assets and are concerned about protecting those assets for your successors, then talk to a knowledgeable trust advisor. ted_grahamIn the summer of 1942, on his 21st birthday, Alfred Theodore ?Ted? Graham, Jr., a trumpet player, volunteer fireman, and newspaper reporter from Jacksonville, New York, enlisted in the U.S. Navy.

After training as an aerial gunner-radioman, ATG was assigned to Bombing Squadron 15, serving on the aircraft carrier USS Essex, which departed Pearl Harbor, Hawaii, on May 2, 1944, for combat duty in the Pacific.

Between flights in dive bombers engaged in battles with Japanese forces over islands from tiny Wake to the Philippines, Iwo Jima to Formosa, ?Otto? Graham took copious notes and wrote letters, diary entries, and articles for the ship?s newspaper and an aircrew newsletter, commenting on virtually everything ? until the morning of November 11, 1944 (Armistice Day), when he was killed in a sea battle in Leyte Gulf.

Among ?Gunner? Graham?s possessions, shipped home in a small gray box stenciled ?Camera Assembly Gun Sight Aiming Point,? was a flight log book recording dozens of dive bomber missions, two gray-covered diaries detailing daily life from the state of his bowels to the swirl of battle, photos of himself and friends in flight uniforms and at ease in tee shirts, notes on midnight thoughts, ribald ditties on Navy life, snapshots of Hawaiian good-time girls. Posthumously, he was awarded the Distinguished Flying Cross and numerous other medals. His name was engraved on the flagpole at Camp Barton on the shore of Cayuga Lake, where he had made Eagle Scout.

Ted Graham was my uncle, whose legacy prodded me as I grew up ? to be a better Boy Scout, to join the Army and go to war, to be a better writer. It has taken much longer than planned to figure out how to share his war diaries ? hastily jotted in pencil and pen and hard to read in many spots ? with the public. Then it dawned on me to post what I can on a website, along with other items saved in a family scrapbook. At least 14 of the VB-15 tail-gunners in this undated group photo died in combat actions in the Pacific between May 19-November 14, 1944: Sam Hogue, Guy Henry, Ken Jackson, Bill Lowe, L.G. Murray, J. Daniel Downey, George A. Duncan, Stan Whitby, Carl Shetler, Norm Schmidt, Chuck Swihart, Ted Graham, Paul Sheehan, Simon Dorosh. In most cases, they died with their pilots. In some cases, pilots died and gunners survived.

Of the 100 pilots and gunners in VB-15 who sailed to war in 1944, ?45 came home unhurt. That was the highest loss rate in any Navy dive bombing unit during WWII,? according to research by Steven R. Whitby for his book, ?World War II Exploits of Bombing Squadron 15 and the Short Life of ARM2c Stanley Nelson Whitby while Flying from the USS Essex (CV-9) in 1944.?

Losses for Air Group 15, which VB-15 was attached to along with fighter planes and a torpedo-bombing unit, were ?Pilots: 43 killed or missing and 12 wounded. Crewmen: 29 killed or missing, and 13 wounded,? according to ?Pacific Champions? by Morris Markey in Liberty magazine, May 26, 1945.

UK borrowing unexpectedly rises in July

(AP) ? The British government's attempts to cut its deficit were thrown off track Tuesday when it revealed it borrowed more money than expected in July due to a fall in money raised from taxes.

Public sector borrowing in July hit 600 million pounds ($945 million), compared to a surplus of 2.8 billion pounds a year ago, the Office for National Statistics said Tuesday. The public sector usually posts a surplus for July as it is a strong month for tax receipts. However, tax revenues for the month were down nearly 1 percent, with corporation tax revenue falling by 10 percent.

The figures suggest the U.K. may overshoot its full-year borrowing target, and will open up the debate on the effectiveness of the government's austerity measures, which were introduced to bring the U.K.'s deficit back under control.

"Part of the increase in July's borrowing can be attributed to a fall in corporation tax receipts but, for the most part, the increase in borrowing is because of overall weakness in the domestic economy," said Nida Ali, economic adviser to the Ernst & Young ITEM Club.

Britain's 1.5 trillion pound ($2.4 trillion) economy is the third-largest in the 27-country European Union after Germany and France. The country has been in recession for the last nine months, with a reported drop in output of 0.7 percent in the second quarter. The statistics agency will release its revised estimate for the period on Friday, with analysts expecting an upward revision, though remaining negative.

The Bank of England has forecast a return to growth in the second half of the year, but only strong enough to leave the country's full-year GDP about where it was at the end of 2011.

For the fiscal year which began in April, the statistics agency reported that public sector borrowing was 9.3 billion pounds ($14.7 billion) higher than a year ago.

If that trend continues, borrowing for the full year would be about 160 billion pounds, or 40 billion above the government target, said Vicky Redwood, chief U.K. economist at Capital Economics.

Part of the dip in corporation tax receipts reflected the temporary closure of the Elgin gas field in the North Sea earlier this year following the discovery of a leak on a platforms operated by French company Total.

  • On the 1st of January, 2012, company A borrows $100 from conventional bank B for three years.
  • Interest of $5 per year is payable annually in arrears.
  • When the loan is repaid on the 31st of December 2014, company A must repay $110 to redeem the loan, as well as paying the interest of $5 for 2014.
  • The loan is secured on company A?s building, which was bought by company A many years ago for $20, and is now worth $150.

Ignoring any difference in the number of days from 2012, it being a leap year, this is equivalent to borrowing money at approximately 8.0766% as demonstrated by the loan table:

  • Islamic bank D enters into a sale undertaking, whereby it agrees that if on the 31st of December, 2014, company C offers to purchase the building for a price of $110, then Islamic bank D will agree to sell.
  • Company C enters into a purchase undertaking, whereby it agrees that if on the 31st of December, 2014, Islamic bank D offers to sell the building to company C for a price of $110, then company C will agree to buy.
  • If the above purchases and sales do not take place on the 31st of December, 2014, then Islamic bank D is free to do as it wishes with its building.

This sale and leaseback transaction has many similarities with the conventional loan transaction, as well as some differences.

Similarities

  • If the transaction proceeds go as planned, at the start and end of the transaction, companies A and C own their building.
  • If the transaction proceeds go as planned, companies A and C have identical cash inflows on the 1st of January, 2012, and identical cash out?ows on the 31st of December, 2012, 2013, and 2014.
  • If the transaction proceeds go as planned, companies A and C have the use of $100 for three years, paying $25 (3x$5 + $10 at the end) for this money.

Differences

  • If company A defaults, conventional bank B would be entitled to sell the building. Under the law of most jurisdictions, if the price received on the sale is $150, conventional bank B would retain $110 plus any unpaid interest; and the balance of the $150 would be given back to Company A.
  • If company C fails to exercise its right to purchase, and also fails to ful?ll its obligation to buy, then Islamic bank D should in most jurisdictions be entitled to sue for speci?c performance of company C?s obligation to buy. However if Islamic bank D chooses not to sue, once the sale and purchase undertakings exercisable on the 31st of December, 2014, have lapsed, then Islamic bank D will own the building free and clear. If it is able to sell it for $150, and Islamic bank D will be entitled to retain the entire $150.
  • As the owner of the building during the three-year leasing period, Islamic bank D will have greater obligations regarding the building than would conventional bank B. However, little signi?cance attaches to this in practice, since it is standard for peripheral legal documents to pass this ownership risk back to the tenant company C, so in practice Islamic bank D expects to have obligations no different to those of conventional bank B.

Accounting for the sale and leaseback under IFRS

IFRS is about reporting the economic substance of the transactions. From an economic perspective, Islamic bank D has provided $100 to company C, in exchange for company C?s obligation to pay it $5 on the 31st of December, 2012, and 2013, and to pay it $115 on the 31st of December, 2014.

Accordingly, Islamic bank D would account as follows:

Company C continues to show the building on its balance sheet at all times. The IFRS view is that company C continues to have full economic participation in increases or reductions in the value of the building, since it has the right and obligation to buy the building back on the 31st of December, 2014, at the fixed price of $110. All that company C has done, in economic terms, is to use the building to obtain $100 of finance.

Its accounts should look no different than the accounts of company A, and under IFRS they do not differ apart from some footnote disclosures so that investors are fully aware of the sale and leaseback transaction.

Accounting for the sale and leaseback under AAOIFI

The introduction to AAOIFI?s 1993 Statement of Financial Accounting No. 1: Objectives of Financial Accounting for Islamic Banks and Financial Institutions says:

?Financial accounting in Islam should be focused on the fair reporting of the entity?s financial position and results of its operations, in a manner that would reveal what is halal (permissible) and haram (forbidden).?

To achieve this, it appears appropriate under AAOIFI to account for the transaction that is actually taking place, which is a sale of the building and its eventual repurchase. Islamic bank D will show the building it purchases on its balance sheet, and report the rental income and the gain from selling the building in the periods when they arise.

The accounting for company C under AAOIFI follows the same principles. In 2012 company C sells for $100 a building which it bought for $20, and reports that gain of $80 as well as reporting the rental expense of $5 each year. The $110 payment in 2014 is simply accounted for as the purchase of a building. This leads to the following accounting for company C:

It is not meaningful to ask which is right. The IFRS and AAOIFI accounting have different objectives and perspectives. IFRS analyzes the transaction entirely on the basis of its economic substance and sees it as a financing transaction. Fundamentally, this derives from the requirement to repurchase the building at a fixed price irrespective of the market value.

The main purpose of AAOIFI accounting is to satisfy the religious needs of the users of the accounts. Accordingly AAOIFI does not allow economic substance to determine the presentation of the accounts but instead gives significant weight to the legal form of contracts, and Shari?ah requirements are overriding.

Tax implications

The tax laws vary from country to country. However in generic terms two tax questions need to be considered.

Is the real estate transfer tax chargeable on the sale and the repurchase of the building?

In 2012, company C sells the building to Islamic bank D for $100, and in 2014 Islamic bank D sells it back for $110. Many countries have a tax chargeable on the transfer of real estate which should apply to these sales.

The UK introduced a special relief from its real estate transfer tax called Stamp Duty Land Tax (SDLT) several years ago. Accordingly the above sales by company C and Islamic bank D should not suffer any SDLT. A number of other countries have introduced a similar relief from their real estate transfer tax to facilitate Islamic finance.

Does company C?s sale give rise to a taxable gain?

Even though the economics of the transaction do not differ materially from the conventional loan, company C begins in 2012 by selling for $100 a building it bought for $20. At first sight, this gain would appear to be taxable.

In the UK, under current law, this sale would give rise to a taxable capital gain. The UK has already brought in a relief which applies if a sale and leaseback takes place with a special purpose vehicle that issues investment bonds (the tax law equivalent of Sukuk), but this relief does not apply if the sale and leaseback transaction takes place with a bank.

Given the precedent of relief for Sukuk transactions, it is probable that in the near future the UK will bring in a similar relief for transactions with banks.

In other countries, such as the US and the Netherlands, tax is primarily based on the economic substance of transactions. In such countries, the sale for $100 and repurchase for $110 are likely to be seen as primarily a financing transaction. The consequence would be that the sale and repurchase would be disregarded for tax purposes, so that company C would retain its historical tax basis in the building of $20.
